As part of its sustained growth, Gaming1 is looking for a Legal Counsel to join its Corporate & HR Legal Support team.
Reporting to the Legal manager and within GAMING1's legal and administrative department, you will be a part of the legal team that provides legal support to the Board of Directors, the Finance department and the Human Resources department in the following areas: company law (mainly Corporate Housekeeping), Corporate Governance, M&A (acquisition and disposal of companies) and labor law. The team also works in other areas such as tax questions related to Corporate and HR matters, various support agreements (service and management agreements, real estate agreements, NDAs), litigation, and supports both the Belgian and international business.

YOUR ROLE
- Carry out and coordinate the legal secretariat of the group’s companies from a company law point of view (Corporate Housekeeping) in Belgium as well as support on an international level when needed under the guidance of local advisors
- Assist the responsible person within your team for the legal aspects of M&A files (acquisition and disposal of companies, reorganization, merger, etc.), including the preparation of negotiations and research in order to put in place agreements
- Organize, in collaboration with the notary, the deeds of the group's companies regarding company law
- Support the responsible person within your team in putting in place both intra-group agreements and more generally agreements with external representatives (e.g., loans, service and management agreements, NDAs)
- Conduct legal research within various fields including but not limited to corporate law
- Provide legal opinions and consultations, mainly in corporate law
- Organize legal monitoring with the support of the company’s paralegal
